Terms of Service

1. Acceptance

By using Carpe — the mobile app, the website at carpe-app.com, or the business portal — you agree to these terms. If you do not agree, do not use Carpe.

2. The service

Carpe is a discovery platform that helps people find restaurants, activities, events, and streaming content. We do not process reservations, ticket sales, or food orders ourselves. When you tap an affiliate link you leave Carpe and are subject to the third party's terms.

3. Your account

The consumer app does not require an account. The business portal does. You are responsible for activity under your account and for keeping your password confidential. Tell us right away if you believe your account has been accessed without your permission.

4. Business listings and claims

Carpe maintains a directory of businesses compiled from public sources. A listing on Carpe is not an endorsement, affiliation, or partnership, and the business has not necessarily agreed to be listed.

If you use the business portal to claim a listing, you represent and warrant that:

• You are the owner of the business, or an employee or agent with actual authority to act on the business's behalf;
• The information you provide is accurate; and
• Your claim does not infringe any third party's trademark, trade name, or other rights.

Carpe may verify claims at any time and may suspend, revoke, or refuse any claim at its sole discretion, with or without notice, including if we receive a competing claim, a takedown notice, or evidence that a representation above is inaccurate. Revocation does not by itself entitle you to a refund, though we will consider refund requests in good faith when a claim is revoked through no fault of yours.

You agree to defend, indemnify, and hold Carpe App LLC harmless from any claim brought by a third party alleging that your claim of a listing, or the content you submitted in connection with it, infringes their rights or causes them harm.

5. Subscriptions and billing

Paid plans (Boost and Boost Pro) are monthly subscriptions billed in advance through Stripe. By subscribing you authorize Carpe to charge your payment method on a recurring monthly basis until you cancel. Prices are listed in U.S. dollars and exclude applicable sales tax, which is added where required.

You may cancel at any time from the "Manage Subscription" link in your dashboard or by emailing business@carpe-app.com. Cancellation takes effect at the end of your current billing period. You keep access through that date. We do not prorate mid-month cancellations.

Fees already paid are non-refundable except where required by law or where Carpe revokes a claim through no fault of yours (see Section 4). We may change pricing or features with at least 30 days' notice by email to the address on file; continued use after the effective date constitutes acceptance of the new terms.

If a payment fails, Stripe will retry on our behalf. If it continues to fail, the subscription will be cancelled and the listing returned to free-tier visibility.

The Sponsor Boost Subscription Agreement provides additional provisions governing paid subscriptions. In case of conflict with respect to a paid plan, the Sponsor Boost Subscription Agreement controls.

6. Acceptable use

You agree not to: (a) use Carpe for any unlawful purpose; (b) scrape, copy, or redistribute the directory or any substantial portion of it; (c) attempt to reverse-engineer or circumvent any technical protection; (d) upload anything false, misleading, defamatory, infringing, or obscene; or (e) use Carpe to harass, threaten, or harm another person or business.

7. User content

You retain ownership of any content you submit, such as business descriptions, photos, or responses. You grant Carpe a worldwide, royalty-free, non-exclusive license to host, display, and distribute that content through the Carpe platform for as long as you keep it posted. You may remove your content at any time.

8. Intellectual property

Carpe, the ✦ mark, the spin-mechanic interface, and the site and app as a whole are owned by Carpe App LLC. You may not use our trademarks, logos, or branding without our written permission.

9. Affiliate links and third parties

Carpe contains affiliate and referral links, including (without limitation) Viator, Ticketmaster, OpenTable, Uber, Lyft, DoorDash, and Uber Eats. We may earn a commission on transactions you complete through those links. Third parties have their own terms and privacy policies and we are not responsible for their conduct.

10. Disclaimers

Carpe is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the directory is complete, accurate, or free of errors, or that the service will be uninterrupted or secure.

11. Limitation of liability

To the maximum extent permitted by law, Carpe App LLC and its members, officers, and agents are not liable for any indirect, incidental, consequential, special, or punitive damages, or for lost profits or lost data, arising out of or related to your use of Carpe. Our total liability for any claim arising out of these terms or your use of Carpe will not exceed the greater of (a) the amounts you paid Carpe in the twelve months before the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In those jurisdictions, our liability is limited to the smallest extent permitted by law.

12. Termination

You may stop using Carpe at any time. We may suspend or terminate your access, with or without notice, if you breach these terms, if we are required to do so by law, or if we discontinue the service. Sections 4 (indemnification), 8 (IP), 10 (disclaimers), 11 (limitation of liability), and 13 (governing law) survive termination.

13. Governing law and disputes

These terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these terms or your use of Carpe will be brought exclusively in the state or federal courts located in Volusia County, Florida, and you consent to the personal jurisdiction of those courts.

14. Changes to these terms

We may update these terms from time to time. When we do, we will update the effective date above and, for material changes, post a notice in the app or email subscribers. Your continued use of Carpe after the effective date means you accept the updated terms.
